Terms of Service

These Terms of Service govern your use of the Bowrand Inc. website, project inquiries, and engagement process. Please read them carefully. Last updated March 28, 2026.

1. Acceptance of Terms

By accessing or using the Bowrand Inc. website at bowrand.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must immediately stop using the Site. Bowrand Inc. reserves the right to update these Terms at any time. Continued use of the Site after changes have been posted constitutes your acceptance of the revised Terms.

2. Description of Services

Bowrand Inc. ("Bowrand," "we," "us," or "our") provides custom software development consulting, design, and engineering services including but not limited to AI systems, SaaS platforms, CRM solutions, mobile applications, Shopify development, business websites, and SEO strategy. The Site serves as an informational resource and inquiry channel. Descriptions of services on the Site are general in nature and do not constitute a binding offer or commitment to deliver specific results.

3. Project Inquiries and Engagements

Submitting a contact form, scheduling a consultation, or communicating with Bowrand through any channel does not create a binding service agreement, a contractor relationship, or any obligation on either party. Formal project engagements begin only when both parties execute a separate written agreement (a "Statement of Work" or "Service Agreement") that defines scope, deliverables, timeline, payment terms, and acceptance criteria. Any verbal or email discussions prior to a signed agreement are exploratory and non-binding.

4. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, icons, images, videos, animations, code samples, design elements, and compiled software — is the exclusive property of Bowrand Inc. or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without prior written permission from Bowrand Inc. The Bowrand name, logo, and all related product and service names are trademarks of Bowrand Inc.

5. Client Deliverables and Work Product

Ownership of work product (code, designs, documentation) created during a project engagement is governed exclusively by the signed Service Agreement for that engagement. Unless otherwise specified in writing, Bowrand retains ownership of all proprietary tools, frameworks, libraries, methodologies, and pre-existing intellectual property used in the delivery of services. Transfer of intellectual property rights in custom deliverables occurs only upon full payment of all applicable fees as defined in the Service Agreement.

6. Acceptable Use

You agree not to: (a) use the Site for any unlawful purpose or in violation of any applicable law or regulation; (b) submit false, misleading, or fraudulent information through any form on the Site; (c) attempt to gain unauthorized access to any portion of the Site, its servers, or systems; (d) use automated scripts, bots, scrapers, or other tools to access, collect, or extract data from the Site without our express written consent; (e) transmit any malicious code, viruses, or harmful content; (f) interfere with or disrupt the integrity or performance of the Site; (g) impersonate any person or entity or misrepresent your affiliation; or (h) use the Site to solicit, advertise, or promote competing services.

7. Disclaimer of Warranties

The Site and all content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Bowrand disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Any reliance on content provided on the Site is at your own risk.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Bowrand Inc., its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings — arising out of or in connection with your use of or inability to use the Site, even if Bowrand has been advised of the possibility of such damages. In no event shall our total aggregate liability exceed one hundred Canadian dollars (CAD $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Bowrand Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site; (b) your breach of these Terms; (c) any information or content you submit through the Site; or (d) your violation of any law, regulation, or third-party right.

10. Confidentiality

Any business information, project details, financial data, technical specifications, or strategic plans shared by either party during exploratory conversations or formal engagements shall be treated as confidential and shall not be disclosed to third parties without prior written consent — except as required by law, regulation, or court order. This obligation survives the termination of any engagement or use of the Site.

11. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services. Bowrand does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party site or service. Your interactions with third-party services are governed solely by their respective terms and policies. We encourage you to review those terms before engaging.

12. Termination and Suspension

Bowrand reserves the right to suspend or terminate your access to the Site at any time, without notice or liability, for any reason, including but not limited to a violation of these Terms. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification obligations, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the courts located in Calgary, Alberta, Canada. Both parties irrevocably submit to the exclusive jurisdiction of those courts. Before initiating any legal proceeding, both parties agree to attempt to resolve disputes through good faith negotiation for a period of no less than thirty (30) days.

14. Force Majeure

Bowrand shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, terrorism, labor disputes, power outages, internet service disruptions, cyberattacks, or any other force majeure event.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and any executed Service Agreement, constitute the entire agreement between you and Bowrand Inc. with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements — whether oral or written — between the parties.
